1. Agreement to these Terms

These Terms and Conditions ("Terms") govern your access to and use of the website located at modernwastesolutions.com and any related pages, forms, and content (the "Site"), operated by Modern Waste Solutions, Inc. ("MWS," "we," "us," or "our").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

Modern Waste Solutions, Inc. is an electronics and battery recycling and data destruction company. Our main office is located at 3921 Pell Circle, Sacramento, California 95838. We have operated in the recycling and data destruction industry since 1999 and provide service throughout California and Northern Nevada.

3. Scope of these Terms

These Terms apply to your use of the Site only.

They do not govern the recycling, collection, transportation, data destruction, deinstallation, or any other services we perform. Those services are governed by the separate written service agreement, quotation, work order, or purchase order executed between MWS and the customer. Where these Terms conflict with a signed service agreement, the service agreement controls with respect to the services.

Nothing on the Site constitutes an offer to contract, a binding quotation, or a guarantee of service availability, pricing, or scheduling.

4. Eligibility and intended use

The Site is intended for use by businesses, institutions, and individuals seeking information about our services or requesting a quotation or pickup. You must be at least 18 years of age and legally able to enter into contracts to submit a request through the Site.

If you submit a request on behalf of an organization, you represent that you are authorized to do so.

5. Quote requests, pickup requests, and forms

The Site allows you to submit quote requests, pickup requests, and general inquiries.

  • Submitting a form does not create a contract, reserve capacity, or schedule a service. It is a request only.
  • Service is subject to acceptance by MWS, confirmation of material type and quantity, site accessibility, route availability, and applicable regulatory requirements.
  • Any pricing indicated during correspondence is an estimate until confirmed in a written quotation or service agreement.
  • You are responsible for the accuracy and completeness of the information you submit, including the description of materials, quantities, and site conditions. Inaccurate information may affect service feasibility, scheduling, or cost.

We may decline any request at our discretion, including where materials fall outside the scope of what we are permitted or equipped to handle.

6. Payments

The Site links to payment pages hosted by third-party payment processors. Payments made through those pages are processed by the applicable processor, not by this Site.

  • MWS does not collect, process, or store payment card details on this Site.
  • Your use of a third-party payment page is subject to that processor's own terms and privacy policy.
  • Payment terms, invoicing, due dates, and any late charges applicable to services are set out in your service agreement or invoice, not on the Site.

7. Customer responsibilities regarding materials and data

Where you engage MWS for services, and without limiting the terms of any service agreement:

  • You are responsible for identifying materials that are hazardous, regulated, damaged, or otherwise require special handling, and for disclosing them to us in advance. Undisclosed materials, including damaged or swollen lithium batteries, pressurized vessels, radioactive sources, and biohazardous materials, present safety risks and may be refused.
  • You remain responsible for your own regulatory obligations as a generator of waste, including any manifesting, recordkeeping, or reporting obligations imposed on you by law.
  • You are responsible for removing or identifying any data-bearing devices and for any personal, confidential, or regulated data contained on them prior to transfer, unless data destruction is expressly included in your service agreement.
  • Certificates, reports, and documentation are issued in accordance with the terms of the applicable service agreement.

8. Certifications and compliance information

Information published on the Site about our certifications, management systems, standards, and regulatory oversight is provided for general informational purposes and describes MWS as a company. It is current as of the date of publication and may change.

Publication of this information on the Site does not itself create a contractual warranty. Any certification, standard, or process commitment that applies to a specific engagement is the one set out in the applicable service agreement or statement of work.

Current certification status can be verified with the relevant issuing body on request.

9. Intellectual property

The Site and its contents, including text, graphics, logos, photographs, page layouts, and the selection and arrangement of content, are owned by MWS or its licensors and are protected by copyright, trademark, and other laws.

You may view and print pages from the Site for your own internal reference. You may not:

  • Reproduce, republish, distribute, or commercially exploit Site content without our prior written permission;
  • Use our name, logo, or marks in a way that suggests affiliation, endorsement, or sponsorship without our prior written permission;
  • Systematically extract, scrape, or harvest content or data from the Site.

Client names appearing on the Site are used with permission or as references and remain the property of their respective owners.

10. Acceptable use

You agree not to:

  • Use the Site for any unlawful purpose or in violation of any applicable law or regulation;
  • Submit false, misleading, or fraudulent information through any form;
  • Attempt to gain unauthorized access to the Site, its servers, or any connected systems;
  • Introduce malware, or interfere with the operation, security, or availability of the Site;
  • Use automated systems to access the Site in a manner that imposes an unreasonable load on our infrastructure;
  • Use contact information published on the Site to send unsolicited commercial communications.

We may suspend or restrict access to the Site where we reasonably believe these Terms have been breached.

We do not control and are not responsible for the content, availability, security, or practices of third-party sites. Accessing a linked site is at your own risk and subject to that site's own terms and privacy policy.

While we take care to keep the Site accurate, we do not warrant that content is complete, current, or error-free.

15. Limitation of liability

To the fullest extent permitted by law, MWS, its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, or business, arising out of or relating to your use of or inability to use the Site, whether based in contract, tort, negligence, strict liability, or otherwise, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Site will not exceed one hundred U.S. dollars (US$100).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. Liability arising from services performed by MWS is governed by the applicable service agreement, not by this section.

16. Indemnification

You agree to indemnify and hold harmless MWS and its officers, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or connected with your misuse of the Site, your breach of these Terms, or your violation of any law or third-party right.

17. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Sacramento County, California, and you consent to the jurisdiction of those courts.

18. Changes to these Terms

We may update these Terms from time to time. The revised version will be posted on this page with an updated effective date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms. We recommend reviewing this page periodically.

19. Severability and waiver

If any provision of these Terms is found to be unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full effect. Our failure to enforce any provision does not waive our right to do so later.

20. Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MWS regarding your use of the Site, and supersede any prior understandings regarding the Site. They do not supersede any executed service agreement between you and MWS.
